Acceptance of Terms

By downloading, installing, or using NueCtrl ("the App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use NueCtrl for personal, non-commercial use.

This license does not allow you to:

• Reverse engineer, decompile, or disassemble the App
• Modify, adapt, or create derivative works
• Distribute, sublicense, rent, lease, or lend the App
• Remove or alter any proprietary notices or labels

Pro Features & Purchases

NueCtrl offers optional Pro features available through in-app purchase. Pro features include:

• Unlimited fader slots (Free version: 1 fader)
• Custom color themes
• Custom background images
• Advanced preset management

Purchase Terms:

• All purchases are processed through Apple's App Store and subject to Apple's Terms of Sale
• Payment is charged to your Apple ID account at confirmation of purchase
• Purchases are non-refundable except as required by applicable law
• Pro features are tied to your Apple ID and can be restored on other devices

TestFlight Users: Beta testers using TestFlight automatically receive Pro features for testing purposes. These features are provided "as-is" for evaluation only.

User Responsibilities

You are responsible for:

• Maintaining the security of your device and Apple ID
• All MIDI output and musical performances generated using the App
• Ensuring your use complies with all applicable laws and regulations
• Any damage to your equipment resulting from improper use
• Configuring appropriate MIDI CC mappings to avoid unintended audio output

Intellectual Property

Our Rights: NueCtrl, including all source code, design, interface, graphics, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws.

Your Rights: You retain all ownership rights to:

• Your custom MIDI presets and configurations
• Your custom color themes
• Your background images
• All musical performances and creative output generated using the App

We make no claim to any MIDI data, musical content, or creative works you produce using NueCtrl.

Prohibited Uses

You agree not to use NueCtrl to:

• Violate any laws or regulations
• Infringe on the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the proper functioning of the App
• Use the App in any manner that could damage, disable, or impair our services
• Resell, redistribute, or commercialize the App without authorization

Disclaimers & Warranties

NueCtrl is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Compatibility with all DAWs or MIDI equipment

We do not guarantee that the App will meet your requirements or that it will be suitable for live performance use. You use the App at your own risk.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or musical content
• Equipment damage
• Performance disruptions or failures
• Business interruption

Our total liability shall not exceed the amount you paid for the App in the past 12 months.

Termination

We reserve the right to suspend or terminate your access to NueCtrl if you violate these Terms. Upon termination:

• Your license to use the App immediately ends
• You must cease all use and delete the App from your device
• Locally stored data (presets, settings) will be deleted if you uninstall the App

You may terminate this agreement at any time by uninstalling the App.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Providing in-app notice for significant changes

Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
